These Terms govern your use of Fiscle.

By accessing or using Fiscle, you agree to be bound by these terms. If you do not agree, do not use the service. These Terms incorporate the Data Processing Agreement at fiscle.ai/dpa as if fully set forth herein.

A workflow automation platform for nonprofit fiscal operations.

Fiscle processes your uploaded data according to your configured workflows and produces computed results and deliverables. The service is designed for recurring financial operations in government-funded nonprofit organizations.

You are responsible for your account.

You are responsible for maintaining the security of your account credentials and for all activity that occurs under your account. One organization account per entity.

You own your data. We just process it.

You retain all ownership of data you upload to Fiscle. You grant Fiscle a limited license to process your data solely for the purpose of providing the service. We do not claim any ownership of your data.

Use the platform responsibly.

You agree not to upload malicious files, attempt to access other organizations' data, reverse engineer the platform, use the service for any unlawful purpose, or resell access to the service.

No PHI. No HIPAA Business Associate Agreement.

You represent and warrant that you will not upload Protected Health Information (as defined under HIPAA) to the Service. Fiscle does not enter into Business Associate Agreements. If your program activities involve PHI, you are responsible for ensuring that data uploaded to Fiscle is de-identified or otherwise outside HIPAA scope. Fiscle reserves the right to suspend the Service if PHI is detected.

Your data stays in the United States.

Service data is stored exclusively within the United States. Fiscle does not transfer customer data outside the US.

30 days notice before we add a new subprocessor.

Fiscle provides at least 30 days advance email notice to account administrators before engaging a new subprocessor. Our current subprocessor list is published at fiscle.ai/subprocessors. If you reasonably object to a new subprocessor, you may terminate the Service within the notice window and receive a pro-rata refund of pre-paid fees for the unused subscription period.

Review your outputs before submission.

Fiscle produces computed results based on the data and configurations you provide. Calculations performed within configured workflows are reproducible from the structured underlying data. You are responsible for reviewing and verifying outputs before submission to funders. Fiscle is a tool that assists your team — it does not replace professional judgment.

We aim for always-on, but can't guarantee it.

We aim to keep Fiscle available at all times but do not guarantee uninterrupted access. We may perform maintenance or updates that temporarily affect availability.

Beta features come with no warranty.

Any feature labeled “Beta”, “Preview”, or “Early Access” is provided as-is, with no service-level commitment, no warranty of any kind, and may be modified or discontinued at any time without notice.

Simple, transparent pricing.

Subscription tiers include defined seat counts and active workflow limits. Current limits are listed on our Pricing page and may be updated; material changes will be communicated at least 30 days in advance. Subscriptions may be billed monthly or annually.

Auto-renewal (California disclosure). Subscriptions automatically renew at the end of each subscription term (monthly or annual) at the then-current renewal price, unless cancelled before the renewal date. We will email the account administrator a renewal reminder between 15 and 45 days before each renewal, identifying the renewal date and renewal price. You may cancel auto-renewal at any time from your account billing settings, or by emailing hello@fiscle.ai; cancellation takes effect at the end of the current paid term.

Either party can walk away at any time.

Upon termination, you may export your data. Your data will be deleted within 30 days of termination, in accordance with our Privacy Policy.

Refund and cancellation policy. Annual subscriptions are non-refundable but may be cancelled at any time, with no further charges due after the current term ends. Monthly subscriptions may be cancelled at any time, with no refund for the current monthly period. If Fiscle materially breaches these Terms and fails to cure within 30 days of written notice from you, you are entitled to a pro-rata refund of pre-paid fees for the unused portion of the subscription period.

Limitation of liability.

To the maximum extent permitted by law, Fiscle LLC shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of data, revenue, or profits arising from your use of the service.

Cap on liability.

To the maximum extent permitted by law, Fiscle LLC's total aggregate liability for any claim, whether in contract, tort, or otherwise, arising from or related to this Agreement shall not exceed the greater of (a) the fees paid by you to Fiscle in the twelve months preceding the claim, or (b) two hundred fifty thousand U.S. dollars ($250,000).

Mutual indemnification, narrowly scoped.

Fiscle will defend and indemnify you against third-party claims that the Service, as provided by Fiscle, infringes that third party's intellectual property rights — excluding any claim arising from data, content, or configurations supplied by you. You will defend and indemnify Fiscle against third-party claims arising from your misuse of the Service, your unlawful use of the Service, or your upload of data you were not authorized to upload. Each party will provide prompt written notice of any claim, allow the indemnifying party to control the defense (with counsel of its choice), and reasonably cooperate at the indemnifying party's expense. Neither party may settle a claim in a way that imposes liability or admission on the other without that party's prior written consent.

Remedy if infringement.If a third party alleges that the Service infringes its intellectual property rights, Fiscle may, at its option and at no additional cost to you: (a) modify the Service to be non-infringing, (b) procure a license that allows continued use, or (c) terminate the Service and refund a pro-rata portion of any pre-paid fees for the unused subscription period. This is your sole and exclusive remedy for any infringement claim, and Fiscle's sole liability for the underlying alleged infringement.

California law applies.

These terms are governed by the laws of the State of California without regard to conflict of law provisions.

Changes to these terms.

We may update these terms from time to time. Non-material updates (clarifications, formatting, corrections) take effect when posted. Material changes — changes that affect your rights, increase your obligations, change the liability framework, or otherwise materially modify the agreement — require at least 30 days advance email notice to account administrators before the change takes effect. Continued use of Fiscle after the effective date constitutes acceptance.
